MedCompanion Terms of Service

Welcome to MedCompanion! By signing up for our services, you agree to the following Terms of Service ("Terms"). As consideration for participating in Medcompanion services, along with any of our affiliates (collectively, “You”), voluntarily enter into this service agreement. We are committed to protecting your privacy and personal health information in compliance with HIPAA and PHI regulations.

1. Acceptance of Terms

By using MedCompanion's services, you agree to abide by these Terms. If you do not agree, please refrain from using our services.

MedCompanion is a virtual health navigation and communication assistant designed to enhance your healthcare experience by facilitating effective communication and care coordination. Please note that MedCompanion does not provide medical advice, diagnosis, or treatment; it serves as a supportive tool, capturing and relaying information from your healthcare provider visits to help you better understand and manage your health.

Disclaimer of Medical Advice

MedCompanion offers health navigation and communication assistance only. Any health or medical guidance relayed via MedCompanion’s platform directly reflects the information shared by licensed healthcare professionals. MedCompanion does not independently provide medical advice, and users should consult their healthcare providers directly for any medical concerns. MedCompanion assumes no liability for outcomes related to information shared by users' healthcare providers.

2. Services Provided

As a MedCompanion member, you receive the following benefits:

  • Personal Healthcare Virtual Concierge Companion
    A dedicated virtual support partner to guide you through your healthcare journey. MedCompanion representatives provide virtual support only and are not physically present. Through our secure app, a live MedCompanion representative will be available to assist you in real-time.

  • Tailored Health Profile

  • A customized health profile aligned with the care plan and recommendations from your licensed medical provider, tailored to support the health outcomes recommended by your provider and your personal health goals.

  • Secure Health Hub
    Secure, digital access to your health information anytime, anywhere—no physical paperwork required. All communications occur through the MedCompanion app, powered by Healthie, where you can track metrics, view documents, access your care plan, and communicate directly with your MedCompanion concierge.

  • Centralized Health Information

    All your medical records in one secure, convenient location. MedCompanion works to consolidate your records, care summaries, and care plans within the app.

  • Proactive Care Plan Reviews
    Regular virtual reviews help you stay updated and on track with your care plan. Your care plan reflects the goals set by both your licensed medical provider and your personal health objectives.

  • Support During Medical Visits (Virtual Presence Only)
    MedCompanion provides virtual support during appointments, where a representative can remotely attend, take notes, and advocate on your behalf through the secure app. No MedCompanion personnel will be physically present with you, and all interactions occur virtually.

  • Insurance Assistance
    Comprehensive support to help you navigate your insurance benefits and options.

  • 24/7 Direct Support via the MedCompanion App
    Around-the-clock assistance for your health-related questions and needs through our secure app.

  • Effortless Appointment Scheduling
    We manage your healthcare appointments to save you time and allow you to focus on your well-being.

  • Medication and Treatment Management
    Reminders and support for adhering to prescribed treatments and medications as recommended by your licensed medical provider.

  • Seamless Communication
    Effortless communication with MedCompanion and your healthcare providers through secure, virtual channels.

3. Privacy and Data Security

MedCompanion is committed to protecting your Personal Health Information (PHI) with strict confidentiality and security protocols, compliant with HIPAA standards. Your information is used solely to provide the services described and will not be shared with third parties unless required by law or with your explicit consent. 4. Use of Services

MedCompanion services are designed to support—not replace—the relationship between you and your healthcare providers. You remain responsible for following the medical advice provided by your doctors and other healthcare professionals. MedCompanion is not liable for actions taken based on information relayed through our platform.

5. Payment and Billing

MedCompanion’s concierge services require a 12-month commitment, with automatic renewal at the end of each period unless canceled before the renewal date. Services are intended exclusively for the enrolled individual. For additional adults (e.g., elderly parents or family members) or children, please contact us to discuss family plan options.

Financial Responsibility

MedCompanion assists with accessing prescribed equipment, medications, or devices where applicable, but is not responsible for associated costs. Payment or reimbursement for these items remains the user’s responsibility.

Service Continuity Post-Subscription

Upon termination of your subscription, MedCompanion will continue to address any ongoing issues initiated before termination. New requests, bookings, or virtual visits are not included after the subscription ends.

6. Limitation of Liability

MedCompanion and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages resulting from your use of our services, including but not limited to service interruptions, errors, or unauthorized access to personal information. MedCompanion does not provide emergency services. In a medical emergency, call 911 immediately. MedCompanion services, including appointment scheduling, are subject to the availability of providers and staff. MedCompanion is not responsible for delays in care due to scheduling limitations.UNDER NO CIRCUMSTANCES (INCLUDING NEGLIGENCE) SHALL WE BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS), PERSONAL INJURY (INCLUDING DEATH) OR PROPERTY DAMAGE OF ANY KIND OR NATURE WHATSOEVER THAT ARISE OUT OF OR RESULT FROM: (A) PARTICIPATION IN LUMM OR ANY CONTENT OR FUNCTIONS THEREOF; OR (B) ANY ACT OR OMISSION, ONLINE OR OFFLINE, OF ANY PARTICIPANT IN LUMM OR ANYONE ELSE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL LOSS, COST, DAMAGE, LIABILITY OR EXPENSE (INCLUDING ATTORNEYS’ FEES AND COSTS) THAT YOU MAY SUFFER OR INCUR, UNDER ANY THEORY OF LIABILITY, IN CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE) OR OTHERWISE, EXCEED THE LESSER OF THE AMOUNT PAID BY YOU, IF ANY, FOR THE RIGHT TO ACCESS OR PARTICIPATE IN ANY ACTIVITY RELATED TO LUMM OR $100.00.

UNDER NO CIRCUMSTANCES SHALL WE OR ANY OF THE INDEMNIFIED PARTIES BE LIABLE FOR ANY DELAY OR FAILURE IN PERFORMANCE RESULTING, DIRECTLY OR INDIRECTLY, FROM ANY EVENT OF FORCE MAJEURE OR OTHER CAUSE BEYOND OUR OR THEIR CONTROL INCLUDING, WITHOUT LIMITATION, ACTS OF GOD, WAR, EQUIPMENT AND TECHNICAL FAILURES, ELECTRICAL POWER FAILURES OR FLUCTUATIONS, STRIKES, LABOR DISPUTES, RIOTS, CIVIL DISTURBANCES, SHORTAGES OF LABOR OR MATERIALS, NATURAL DISASTERS, GOVERNMENTAL ACTIONS, ORDERS OF DOMESTIC OR FOREIGN COURTS OR TRIBUNALS, OR NON-PERFORMANCE OF THIRD PARTIES.

THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS AGREEMENT AND ELSEWHERE IN THESE TERMS OF USE APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

APPLICABLE LAW MAY NOT ALLOW CERTAIN OF THE EXCLUSIONS, LIMITATIONS, OR DISCLAIMERS OF LIABILITY SET FORTH IN THESE TERMS OF USE, SO SUCH EXCLUSIONS, LIMITATIONS OR DISCLAIMERS MAY NOT APPLY TO YOU.

Indemnification

You, on behalf of your heirs, next of kin, family members, estate, beneficiaries, execcutors, administrators and representatives (now, collectively, “You”), agree to indemnify, defend and hold the Company, and our licensors, licensees, successors, distributors, agents, representatives and other authorized users, and each of their respective officers, directors, owners, managers, members, employees, agents, representatives and assigns (collectively, the “Indemnified Parties“), harmless from and against any and all loss, cost, damage, liability and expense (including, without limitation, settlement costs and legal or other fees and expenses) suffered or incurred by any of the Indemnified Parties arising out of, in connection with or related to any breach or alleged breach by you of this Agreement. You shall use your best efforts to cooperate with the Company in the defense of any claim. We reserve the right, at our own expense, to employ separate counsel and assume the exclusive defense and control of the settlement and disposition of any claim that is subject to indemnification by You.

Non-Disparagement

You agree, both during and after the term of this Agreement, not to disparage, or make any disparaging remarks, or make remarks which could be construed as disparaging, or send any disparaging communications or communications which could be construed as disparaging concerning the Company, its respective reputation, business performance, and officers, directors, agents, and employees, to anyone.

Dispute Resolution; Limitation of Liability

In the unlikely event of a dispute arising from or relating to MedCompanion LLC or this Agreement, the dispute shall be settled by binding arbitration, which will occur via telephone by an arbitrator that is mutually-approved by the parties. The costs of the arbitration will be shared equally by the parties; provided, that the prevailing party will be entitled to reimbursement by the other party of its reasonable costs and expenses incurred therein, including its reasonable attorneys’ fees and costs.

Miscellaneous

This Agreement shall be governed by the laws of the State of Pennsylvania without regard to its conflicts of laws provisions. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be fully severable, and this Agreement shall be construed and enforced as if such provision had never comprised a part of this Agreement.

7. Termination of Services

MedCompanion memberships are for a 12-month period and auto-renew. You may cancel at the end of this term before renewal to prevent continuation. Early termination during the 12-month commitment is not permitted, and refunds are not provided for unused portions. MedCompanion reserves the right to suspend or terminate services for Terms violations, without refunds for the remaining membership period.

8. Changes to Terms

MedCompanion may revise these Terms periodically. We will notify you of any significant changes and obtain your consent as required by law.
